THE CONSTITUTION
VERE TECHNICAL ALUMNI ASSOCIATION
TORONTO CHAPTER

ARTICLE 1 - THE NAME

The Association shall be named the “Vere Technical Alumni Association (Toronto), herein called “The Association”

ARTICLE 2 – OBJECTIVES

The objectives underlying the purpose of the Association shall be:

a) To provide a continuous link between past and present students of the school
b) To assist the school in areas deemed necessary by the Executive Committee
Or as may be requested by the Principal or the Home Chapter
c) To assist past students, where necessary, on the recommendation of the Executive
Committee
d) To participate and render assistance from time to time in worthwhile community
projects


INTERPRETATION OF THE CONSTITUTION

Except other wise excluded by the context:

a) “Month” means calendar month
b) “In writing” means written or printed, or partly written or partly printed
c) Words importing the singular number include the plural and vice versa and words importing male should include female
d) The Executive Committee means the managing body of the Association, constituted under the constitution
e) “Term” means the Association’s year
f) “The school” means Vere Technical High School


LOCATION


The office of the Association will be situated at such place as the Executive Committee may from time to time decide

ARTICLE 3 – MEMBERSHIP

Membership of the Association will be in two (2) categories:

a) Ordinary membership – This shall be opened to all past, full-time day students and evening students

b) Associate membership – This shall be opened to all past students except in
Article 3, Section (a) and to the Head Boy and Head Girl of the school. Associate
Members will, however, be exempted from payment of fees and dues, and shall have

No vote nor be eligible to hold any office in the Association; provided however, that

They shall be entitled to attend General Meetings and enjoy privileges of the
Association.


ARTICLE 4 - THE ASSOCIATION’S YEAR

The Association’s year shall commence on the 1st day of January every calendar year and conclude on the 31st day of December of the same year.


ARTICLE 5 - DUES & FEES

A membership fee of $25.00 (twenty-five dollars) per annum must be paid by all members. Any member who is not fully paid up by March 31st, becomes non-financial and, therefore, forfeits his rights for voting and to derive benefits from the Association, except, in exceptional circumstances to be decided on by the Executive Committee. The annual dues of the Association shall become due on the 1st day of January in each year.


ARTICLE 6 - OFFICERS

Officers shall be:

(a) (i) A President
(ii) A Vice President
(iii) A Secretary
(iv) A Treasurer
(v) A Public Relations Officer (P.R.O.)

(b) Election for the Executive Committee

At the annual general meeting of the Association, there shall be elected an Executive Committee as in Article 6 (a). The newly elected members of the Executive shall take office as of the first day of January.

Duties of Officers

The President

The President shall convene and preside at all General and Executive meetings and shall be in a position to furnish the necessary information and reports on the Association. He shall be the Chief Executive Officer of the Association and an ex-officio member of all sub-committee to appoint all sub-committees of the Association with the approval of the Executive Committee.

The Vice President

The Vice President shall act in the absence of the President or whenever necessary. In the case of the President’s departure, the Vice President shall be automatically appointed as President until the next annual general meeting. He shall assist the President in the affairs of the Association as requested by him.

The Secretary

The Secretary shall record minutes of each meeting and present such records as required by the Association; shall take care of correspondence on behalf of the Association, and also keep a record of attendance. He shall give notice to members of all general, special general and annual general meetings of the Association.

The Treasurer

The Treasurer shall keep a record of names, dues collected and all other finances. He shall at all times be in a position to give reasonable account of the Association’s funds. When required, the Treasurer shall give a written report on the Association’s financial position. He shall be the chief advisor to the Association on fiscal matters. He shall disburse funds at the direction of the Executive Committee and prepare a financial report for the annual general meeting.

The Public Relations Officer

The Public Relations Officer (P.R.O.) shall be responsible for publicising the activities of the Association. He shall be at all times try to paint a true and vivid picture of the Association. He shall be a liaison officer between the members and officers of the Association on one hand and the Association and the public on the other hand.

MANAGEMENT

The management of the Association shall be vested in the Executive Committee as in Article 6 (a)

The Officers of the Executive Committee shall hold offices for a period of two years or until their successors are duly elected.


ARTICLE 7 - APPLICATION FOR ADMISSION TO MEMBERSHIP

Application for membership shall be in writing on such forms as the Executive committee may from time to time prescribe.


ARTICILE 8 - COMMITTEES

a) Executive Committee
This shall consist of the elected officers. This committee shall be in charge of running the affairs of the Association

b) Sub-Committees
Sub-committees shall be directly responsible for planning and organizing activities in the respective fields as the occasions arise and shall at all times keep the Executive Committee fully informed of such plans.

Each sub-committee shall consist of a chairperson who shall be convenor of its meetings. These committees have the power to co-opt additional members as seen necessary. Sub-Committees may report directly to the General Assembly or the Executive Committee, subject to the direction or approval of the Executive Committee. Sub-committees shall be advisory.


ARTICLE 9 - GENERAL MEETINGS

1) Annual General Meeting: The annual general meeting of the Association shall be held not later than the 30th off November in each year, and not more than twelve months shall elapse between successive annual general meetings. Twenty-one (21) days notice in writing shall be given to the members for the annual general meeting.

2) Special General Meeting: Special general meetings of the Association may be
Convened at any time by the President or the Secretary on the direction of the Executive Committee or on the written request of one-third of the ordinary members.

3) ORDINARY General Meeting: Ordinary general meetings of the Association
Shall be held monthly on such days and at such time and place as the Executive Committee may from time to time decide


ARTICLE 10 – QUORUM

The quorum for an Executive Committee shall be three (3) members.

At a general meeting, 20% of the ordinary membership in good standing shall constitute a quorum, except for meetings to amend the Constitution.


ARTICLE 11 – PROCEDURE

a) At general and executive meetings, the President or Vice President shall be Chairman of the meetings, or in the absence of both , any executive member shall preside. Any member may also preside in the presence of the President or Vice President at the discretion and approval of the meeting.

b) At the annual general meeting, the President, Secretary/Treasurer and
P.R.O. shall present a written report
Sub-committee chairman will report as required by the President

c) Every ordinary member shall be entitled to vote on every motion and in
the case of equality of votes, the Chairman shall have a casting vote

d) The ruling of a Chairman on a point of order is final

e) Members must not interrupt a speaker except on a point of order

f) Resolution(s) shall be put to the meeting by a proposer and a seconder

g) Motions may be determined by the majority on a show of hands of the ordinary members present at a general meeting unless a vote for secret ballot be demanded by at lease a quarter of the members present, eligible to vote.

h) Minutes of meetings shall be recorded and presented for amendments and approval at each meeting unless otherwise agreed upon

i) Members shall participate in all meetings and shall be responsible for success of the Association. They shall endeavour to attend all meetings of the Association and be punctual. Those unavoidably absent shall tender an apology to the meeting


ARTICLE 12 – DISCIPLINE

A disciplinary committee (if any) shall be responsible for discipline. In the absence of a disciplinary committee or any such committee or committees responsible for discipline, the Executive Committee shall automatically act accordingly.


ARTICLE 13 – FINANCES

a) Spending money shall be approved by the Executive Committee

b) Money shall be entered in an account in the name of the Association at a
Commercial bank and two or three designated executive members may countersign, e.g. President, Vice President and Secretary/Treasurer.


ARTICLE 14 – RELIGION

The Association shall not discriminate against individuals or groups based on religious beliefs.


ARTICLE 15 – AMENDMENT TO CONSTITUTION

This Constitution may be amended by two-thirds majority of votes cast by ordinary members present at an annual general or special general meeting, provided that:

a) Written notice of the proposed amendment(s) shall have been given to members no later than 19 days prior to the date of such meeting (all circulars of notice pertaining to the above shall be mailed to all members in good standing at their last known address and notices shall be deemed to have been served 96 hours after the same shall have been put into the post).

b) Not less than 40% of the ordinary members in good standing be in attendance at such meeting. Proposal (s) which must be seconded, for the amendments of this Constitution should be sent to the President or Secretary/Treasurer. The proposal(s) shall then be placed before the meeting for discussion and shall not be passed unless the required majority vote in favour.


ARTICLE 16 – INCOME & PROPERTY

The income and property of the Association, whenever or wherever derived, shall be applied solely towards the promotion of the objectives of the Association as set out in this Constitution; or for assistance of charitable objects; and no portion thereof shall be paid or transferred directly or indirectly by way of dividends, bonus or otherwise howsoever by way of profit to the members of the Association. Provided nothing herein contained shall prevent the payment in good faith, or remuneration to any member or servant of this Association or to any person in return for any service actually rendered to the Association nor prevent any payment of interest at the usual current rate of any money lent.


ARTICLE 17 – DISSOLUTION

If upon the winding up or dissolution of this Association there remain, after the satisfaction of its debts and liabilities, any property whatsoever; the same shall not be paid to or distributed among the members of the Association, but hall be given or transferred to the Students Welfare Fund of the Vere Technical High School; or failing this, to the Vere Technical High School or any such organization connected/affiliated to the school and having similar objectives to those of this Association.
